Cadence Terms of Service

These Terms of Service ("Terms") are a legal agreement between LTS Athletic LLC ("Cadence," "we," "us," or "our") and the gym, business, or individual that creates an account ("you," "your," or "Customer"). By creating an account or using Cadence, you agree to these Terms. If you do not agree, do not use the service.

1. The service

Cadence is a web based attendance and reporting tool for gyms. It lets your athletes check themselves in and out on an iPad kiosk, and it turns those check-ins into attendance records, hours, reports, and physical abilities testing for coaches and administrators.

2. Who can use Cadence

You must be at least 18 years old and authorized to enter into this agreement on behalf of your gym. You are responsible for everything that happens under your account, including the actions of any coaches or staff you give access to.

3. Your account

You are responsible for keeping your login credentials secure and for all activity under your account. Tell us right away at support@ltsathletics.com if you believe your account has been accessed without permission.

4. Subscription, billing, and cancellation

• Cadence costs $197 per month per gym, billed through our payment processor, Stripe. Prices are in US dollars.
• New accounts start with a free trial (14 days for standard signups). You will not be charged during the trial. If you do not cancel before the trial ends, your paid subscription begins automatically and your card is charged.
• Promotional codes and discounts, where offered, apply only as described at the time of signup.
• Your subscription renews automatically each month until you cancel. You can cancel at any time through your account or by contacting support. When you cancel, you keep access through the end of the current billing period, and you are not charged again after that.
• Except where required by law, payments are non-refundable, including for partial months.
• We may change our prices. If we do, we will give you at least 30 days notice before the change applies to your subscription.

5. Your data and your responsibilities

• You own your data. The athlete names, attendance records, test scores, schedules, and other information you enter ("Customer Data") belong to you. We do not claim ownership of it.
• You are responsible for the data you enter, including minors' information. Many of your athletes may be children. You represent and warrant that you have obtained all necessary consents, including parental or guardian consent where required by law, to collect and enter athletes' information into Cadence, and that you are authorized to provide that information to us for processing. You are the party responsible for that consent, not Cadence.
• You are responsible for the accuracy of your data and for using Cadence in compliance with all laws that apply to your gym.
• You will not upload information you do not have the right to share, and you will not use Cadence to store sensitive categories of data it is not designed for (for example, financial account numbers, government IDs, or health records beyond the attendance and testing features provided).

6. Acceptable use

You agree not to: use Cadence for any unlawful purpose; attempt to access another gym's data; reverse engineer, copy, resell, or sublicense the software; interfere with or disrupt the service; or use automated means to overload or scrape the service.

7. Our intellectual property

Cadence, including its software, design, and branding, is owned by LTS Athletic LLC. These Terms do not give you any ownership of the service. We grant you a limited, non-exclusive, non-transferable right to use Cadence while your subscription is active.

8. Privacy

Our handling of personal information is described in our Privacy Policy, which is part of these Terms. Please read it.

9. Service availability

We work to keep Cadence available and reliable, but we do not guarantee uninterrupted or error free service. The service is provided "as is" and "as available." We may perform maintenance, update features, or change the service over time.

10. Disclaimers

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Cadence will meet your requirements or be error free.

11. Limitation of liability

To the fullest extent permitted by law, LTS Athletic LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to Cadence will not exceed the amount you paid us in the 12 months before the claim.

12. Indemnification

You agree to defend and indemnify LTS Athletic LLC against claims, damages, and costs arising from your use of Cadence, your Customer Data, your failure to obtain required consents (including parental consent for minors), or your violation of these Terms or any law.

13. Termination

You may stop using Cadence and cancel at any time. We may suspend or terminate your account if you violate these Terms or fail to pay. After termination, you may request an export of your Customer Data within 30 days, after which we may delete it as described in the Privacy Policy.

14. Changes to these Terms

We may update these Terms. If we make material changes, we will notify you by email or in the app before they take effect. Continuing to use Cadence after changes take effect means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Any dispute will be handled in the state or federal courts located in San Diego County, California.
